1.1. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Javna Limited, a company incorporated in England and Wales under company registration number 16142888, with its registered office at 46 Gainsborough Avenue, Tilbury, RM18 8LR, United Kingdom ("Javna", "we", "us", or "our"), trading as PrivateByRight VPN.
1.2. These Terms govern your access to and use of the PrivateByRight VPN service, including all software applications, browser extensions, websites, content, features, and related services (collectively, the "Service") made available through:
1.3. By accessing, downloading, installing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Service.
1.4. We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email to the address associated with your account or by prominent notice within the Service at least thirty (30) days before they take effect. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree with any modification, your sole remedy is to terminate your account prior to the effective date of the change.
2.1. You must be at least sixteen (16) years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms.
2.2. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" and "your" shall refer to that organisation.
2.3. The Service is not available to any User previously suspended or removed from the Service by Javna.
2.4. The Service is not directed at, and may not be used by, persons located in jurisdictions where the provision or use of a VPN service is prohibited by applicable law. You are solely responsible for ensuring that your use of the Service complies with all laws applicable to you.
3.1. To access the Service, you must create an account through the Registration Portal at register.privatebyright.com. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2. You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to immediately notify us at support@privatebyright.com of any unauthorised use of your account or any other security breach.
3.3. You are responsible for all activity that occurs under your account, whether or not authorised by you. Javna shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
3.4. You may not assign, transfer, sell, or share your account or any rights thereunder to any third party without our prior written consent.
3.5. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or is being used fraudulently.
4.1. PrivateByRight VPN is a virtual private network service that encrypts your internet traffic and routes it through our servers to protect your privacy and security online.

4.4. We reserve the right to modify, update, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. Where practicable, we will provide advance notice of material changes to the Service.
5.1. Pricing. The Service is offered through paid subscription plans as described on our pricing page at www.privatebyright.com/pricing. Prices are quoted in British Pounds Sterling (GBP) unless otherwise indicated. All prices are inclusive of applicable VAT where required by law.
5.2. Billing Cycles. Subscription plans are available on monthly, annual, and two-year billing cycles. The applicable billing cycle and fees are confirmed at checkout.
5.3. Recurring Payments. All subscriptions are billed on a recurring basis at the start of each billing cycle. By subscribing, you authorise Javna (through our payment processor, Stripe) to charge your selected payment method on a recurring basis until you cancel.
5.4. Price Changes. We may change subscription fees at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least thirty (30) days' written notice. If you do not agree with the new pricing, you may cancel your subscription before the new price takes effect.
5.5. Taxes. You are responsible for all applicable taxes, duties, and levies associated with your subscription, except for taxes based on Javna's net income.
5.6. Failed Payments. If a payment fails, we may retry the charge and/or suspend access to the Service until the outstanding balance is settled. We may terminate your account if payment remains outstanding for more than fourteen (14) days.
6.1. We may, at our discretion, offer free trials or promotional pricing. Such offers are subject to additional terms disclosed at the time of the offer.
6.2. Unless you cancel before the end of a free trial period, your subscription will automatically convert to a paid subscription at the standard rate, and your payment method will be charged accordingly.
6.3. Free trials are limited to one per User. We reserve the right to revoke free trial access if we determine, in our sole discretion, that you have previously used or are attempting to abuse the free trial offer.
7.1. 30-Day Money-Back Guarantee. All new subscriptions are covered by a thirty (30) day money-back guarantee from the date of the initial purchase. If you are not satisfied with the Service during this period, you may request a full refund by contacting support@privatebyright.com.
7.2. Conditions and Exclusions. A refund under the 30-day money-back guarantee will be denied if:

After the 30-day guarantee period, subscriptions are non-refundable, except where required by applicable law (including, without limitation, the statutory 14-day cooling-off period under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 for UK consumers).
7.4. Method of Refund. Approved refunds will be processed to the original payment method. Please allow up to ten (10) business days for the refund to appear on your statement.
7.5. Cancellation. You may cancel your subscription at any time through the Members Portal at members.privatebyright.com. Cancellation will take effect at the end of the current billing period. No partial or pro-rated refunds will be issued for unused portions of a billing period, except as required by applicable law or as set out in Section 7.1.
8.1. You agree to use the Service only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations. You shall not use the Service to:
8.2. We reserve the right to investigate and take appropriate action against any User who, in our sole discretion, violates this Acceptable Use Policy. Such action may include, without limitation, issuing a warning, suspending or terminating your account, reporting the activity to relevant law enforcement authorities, and cooperating with legal proceedings.
8.3. No Monitoring of Content. Consistent with our no-logs policy, we do not proactively monitor, inspect, or record the content of your internet traffic transmitted through the Service. However, if we receive credible reports or legal process indicating a violation of this Section 8, we may take action as described in Section 8.2.

10.1. A portion of each subscription fee is allocated to the PrivateByRight Impact Pool, which funds organisations working in the areas of digital rights, press freedom, and human rights.
10.2. Donation recipients, allocation methodology, and cumulative totals are published in our Transparency Reports and on the Social Mission page at www.privatebyright.com/mission.
10.3. Javna selects and vets recipient organisations at its sole discretion. Donation recipients are independent organisations and do not endorse the Service.
10.4. The donation component of your subscription is not a separate charitable contribution for tax purposes unless explicitly stated otherwise. Javna makes the donations as a corporate expenditure.
10.5. Javna reserves the right to modify, suspend, or discontinue the donation programme or change recipient organisations at any time without prior notice.
11.1. The Service, including all software, applications, websites, content, designs, logos, trademarks, trade names (including "PrivateByRight" and "PrivateByRight VPN"), and all related intellectual property (collectively, "Javna IP"), are and shall remain the exclusive property of Javna Limited and/or its licensors. All rights not expressly granted herein are reserved.
11.2. Subject to your compliance with these Terms, Javna grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the Service applications on devices you own or control, solely for your personal, non-commercial use.
11.3. You shall not copy, modify, adapt, translate, create derivative works of, distribute, sell, lease, sublicense, or otherwise transfer any Javna IP, except as expressly permitted herein.
11.4. Any feedback, suggestions, or ideas you submit to us regarding the Service ("Feedback") shall be deemed non-confidential and non-proprietary. You hereby grant Javna a worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, modify, and incorporate such Feedback without obligation or compensation to you.
12.1. The Service may integrate with, link to, or rely upon third-party services, websites, and platforms. These third-party services are governed by their own terms and privacy policies, which we do not control and for which we are not responsible.
12.2. Our payment processing is handled by Stripe, Inc. ("Stripe"). Your use of Stripe's services is subject to the Stripe Terms of Service and Stripe Privacy Policy. We do not store your full credit or debit card details on our servers.
12.3. Javna shall not be liable for any loss, damage, or claim arising from your use of or reliance on any third-party service.
13.1. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JAVNA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
13.2. No guarantee of anonymity. While we employ industry-leading security measures and a no-logs architecture, no VPN service can guarantee absolute anonymity or security. Factors outside our control — including your own behaviour, device security, third-party surveillance, and advanced state-level adversaries — may compromise your privacy despite the use of the Service.
13.3. No guarantee of access. We do not guarantee that the Service will allow you to access any particular content, website, or service. Access may be affected by third-party blocking, geo-restrictions, or other factors beyond our control.
13.4. Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited under the laws of England and Wales, including statutory consumer rights under the Consumer Rights Act 2015.
14.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JAVNA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT JAVNA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2. AGGREGATE LIABILITY CAP. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JAVNA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO JAVNA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED POUNDS STERLING (£100).
14.3. Nothing in these Terms excludes or limits Javna's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited under the laws of England and Wales.
14.4. The limitations in this Section 14 reflect a reasonable allocation of risk between the parties and form an essential basis of the bargain between you and Javna. The Service would not be provided to you without these limitations.
15.1. You agree to indemnify, defend, and hold harmless Javna, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
15.2. Javna reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate with our defence of such claims.
16.1. Termination by You. You may terminate your account at any time by cancelling your subscription through the Members Portal at members.privatebyright.com or by contacting support@privatebyright.com. Cancellation does not entitle you to a refund except as set out in Section 7.
16.2. Termination by Javna. We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if:

17.1. Informal Resolution. Before initiating any formal dispute resolution procedure, you agree to first contact us at support@privatebyright.com and attempt to resolve the dispute informally for a period of at least sixty (60) days.
17.2. Binding Arbitration. If the dispute cannot be resolved informally, it shall be referred to and finally resolved by arbitration under the London Court of International Arbitration (LCIA) Rules, which rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one (1). The seat (legal place) of the arbitration shall be London, England. The language of the arbitration shall be English.
17.3. CLASS ACTION WAIVER. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND JAVNA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, MULTI-DISTRICT, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
17.4. Exceptions. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
17.5. Consumer Rights. Nothing in this Section 17 is intended to limit any rights you may have as a consumer under the laws of your country of residence, including the right to bring proceedings in your local courts where required by mandatory consumer protection laws.
18.1. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of England and Wales.
18.2. Subject to Section 17, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
18.3. If you are a consumer resident in the European Union or the United Kingdom, you may also have the right to bring proceedings in your country of residence.
19.1. Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Javna with respect to the Service and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
19.2. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.
19.3. Waiver. No failure or delay by Javna in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any right or remedy on one occasion shall not be deemed a waiver of that right or remedy on any subsequent occasion.
19.4. Assignment. Javna may assign or transfer its rights and obligations under these Terms, in whole or in part, to any successor, affiliate, or acquirer without your consent. You may not assign or transfer your rights or obligations under these Terms without Javna's prior written consent.
19.5. Force Majeure. Javna shall not be liable for any delay or failure to perform any obligation under these Terms if the delay or failure results from events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, governmental action, power outages, internet or telecommunications failures, or cyberattacks.
19.6. No Third-Party Beneficiaries. These Terms are for the sole benefit of the parties hereto and do not confer any rights or remedies on any third party, except as expressly stated herein.
19.7. Notices. All notices to Javna under these Terms shall be sent to support@privatebyright.com or to our registered address at 46 Gainsborough Avenue, Tilbury, RM18 8LR, United Kingdom. Notices to you will be sent to the email address associated with your account.
19.8. Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
20.1. The Service may be subject to export control laws and economic sanctions regulations, including those of the United Kingdom, the European Union, and the United States. You agree not to use, export, re-export, or transfer the Service (or any component thereof) in violation of any applicable export control laws or economic sanctions.
20.2. You represent and warrant that you are not: (a) located in, or a national or resident of, any country subject to comprehensive trade sanctions; (b) listed on any sanctions or restricted party list maintained by the UK, EU, US, or UN; or (c) owned or controlled by any person or entity described in (a) or (b).
21.1. By using the Service and providing your email address, you consent to receive electronic communications from Javna, including service-related notices, account notifications, billing information, and updates to these Terms or our Privacy Policy.
21.2. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
